His work includes mergers and acquisitions, reinsurance transactions and financing arrangements, as well as insurance and reinsurance regulatory matters.

Matt assists public and private insurance companies, investment advisors, asset managers, insurance producers and strategic investors in acquisitions and dispositions of insurance companies and other regulated financial services companies, complex reinsurance structures and collateral arrangements, and the establishment of onshore and offshore reinsurance platforms. He also regularly counsels clients on related regulatory compliance matters, including risk transfer, credit for reinsurance, and insurance company act matters.

  • Represented Allianz SE in connection with the sale of its Fireman’s Fund insurance business to Arch Insurance North America for a transaction value of $1.4 billion.
  • Represented Voya Financial in its acquisition of OneAmerica’s retirement business.
  • Represented General Atlantic in its co-sponsoring with MetLife of a Bermuda reinsurance platform Chariot Re with third party capital and related reinsurance.
  • Represented Talcott Resolution in its reinsurance of a $7 billion variable annuity block from Guardian Life with transfer of administration and in its flow reinsurance of Lincoln National's variable annuity business.
  • Represented Allianz SE in connection with Allianz Life’s reinsurance of over $35 billion of its inforce fixed annuity business to a consortium consisting of Sixth Street Partners and Resolution Life for a transaction value of $4.1 billion.
  • Represented Securian Financial Group, Inc. in the auctioned sale of its retirement plan recordkeeping business to Standard Insurance Company.
  • Represented Nationwide in its sale of Nationwide Brokerage Solutions to Bridge Specialty Group
  • Represented Empower in its acquisition of MassMutual’s retirement services business for a total transaction value of $3.35 billion.
  • Represented Empower in its acquisition of Prudential's retirement plan business for a total transaction value of $3.55 billion.
  • Represented Horace Mann in its $405 million acquisition of Madison National Life Insurance Company and acquisition of National Teachers Associates.
  • Represented PartnerRe in its reinsurance of certain life business from Resolution Life.
  • Represented National Western Life Insurance Company on reinsurance transactions with Prosperity Life Assurance Limited and Aspita Re Ltd.
