With extensive technical experience in transactional tax, including Subchapter C, Subchapter K, Subchapter S, and U.S. international taxation, Ben is trusted counsel to both tax clients and non-tax stakeholders. He is renowned for his technical acumen and practical communication skills, effectively collaborating with deal teams and clients.
Ben's comprehensive experience encompasses tax structuring, tax diligence, and purchase agreement review for numerous corporate and private equity buy-side and sell-side transactions. He has successfully worked with a diverse range of clients, transaction types, and deal sizes, from private equity acquisitions of S corporations to intricate cross-border transactions and public company mergers.
Before joining Eversheds Sutherland, Ben honed his skills at a Big 4 accounting firm, advising large multinational public and private corporations, as well as middle-market private equity firms nationwide. His notable achievements include serving as the lead tax advisor for a major public company's complex divestitures, resulting in approximately $1 billion in additional purchase price for the client.
