The assignment covered eight separate convertible bond instruments issued between 2021 and 2025, each with its own capital amount, interest terms, and conversion mechanics. Because both financiers were also among the company's principal owners, the process required particular attention to the governance requirements applicable to related-party transactions under the Finnish Companies Act, including board members with conflicts of interest recusing themselves from the relevant decisions. Our team supported Digitalist Group from the shareholders' resolution at the Annual General Meeting through to the signing of the final agreements. On 30 June 2026, Digitalist Group signed agreements with Turret Oy Ab and Holdix Oy Ab confirming the amended terms, with a total capital amount of approximately EUR 27.7 million. Our work covered the full legal advisory scope of the transaction. The matter was led by Partner Harri Tolppanen, together with Jarkko Hankaa and Olli Iirola.
