He specialises in competition and consumer protection law. Filip has over ten years’ experience advising Polish and international clients across a range of sectors, including TMT, e-commerce, insurance, manufacturing and property. In particular, he provides comprehensive advice on antitrust aspects of M&A transactions, including the preparation of antitrust feasibility analyses, multi-jurisdictional analyses and the coordination of notification procedures across multiple countries, representing clients in merger control proceedings before the European Commission and the President of the Office of Competition and Consumer Protection, establishing clean team structures, and advising on integration preparations. Filip also advises on the compliance of actions taken (e.g. contracts entered into) with competition law and conducts antitrust audits.
In the area of consumer protection, Filip assists clients, amongst other things, in drafting contracts and terms and conditions, as well as in communicating with consumers, and assesses planned activities from the perspective of the prohibition on infringing the collective interests of consumers or the use of unfair contract terms. Filip has also been involved in complex projects in the e-commerce and TMT/new technologies sectors, covering issues of consumer law, electronic communications, and personal data protection regulations.
Filip also deals with regulations concerning the control of certain investments.
Filip is a member of the Competition Law Association. Before joining Eversheds Sutherland, he worked in a leading competition law team at one of the largest international law firms.
- Representing Allianz in connection with obtaining the European Commission’s unconditional approval for a transaction involving the acquisition from Aviva of life and property insurance businesses, as well as pension funds and asset management, and the acquisition of a 51% stake in joint ventures with Santander Bank Polska offering insurance products. The value of the transaction was approximately EUR 2.5 billion.
- Advising the Agora media group in merger proceedings concerning the acquisition of the Eurozet radio group and in appeal proceedings before the Court of Competition and Consumer Protection and the Court of Appeal against the decision of the President of the Office of Competition and Consumer Protection (UOKiK) prohibiting the transaction. The proceedings ultimately concluded with the first ruling in Poland in which the Court overturned in its entirety the decision of the President of the Office of Competition and Consumer Protection (UOKiK) prohibiting the concentration and issued a final, unconditional approval of the transaction.
- Represented Qemetica, an international chemical group, in connection with obtaining the President of the Office of Competition and Consumer Protection’s unconditional approval for the transaction involving the acquisition of PPG’s precipitated silica business, and coordinated the obtaining of antitrust approvals in other jurisdictions. The value of the transaction was approximately PLN 1.2 billion (USD 310 million).
- Advising Polsat Television in connection with obtaining the unconditional approval of the President of the Office of Competition and Consumer Protection (UOKiK) for the acquisition of the Interia Group.
- Advising Madison International Realty, a leading private equity firm operating in the real estate market, in connection with obtaining the unconditional consent of the President of the Office of Competition and Consumer Protection (UOKiK) for a transaction involving the acquisition of a 46.5% stake in European Logistics Investment, which holds a Polish portfolio of warehouse properties valued at approximately EUR 500 million.
- Advising a media sector entity in proceedings before the President of the Office of Competition and Consumer Protection (UOKiK) in connection with an allegation of abuse of a dominant position.
- Advising an international online platform on adapting its terms and conditions to the requirements of Polish consumer protection law.
