Romania’s New Construction and Urban Planning Code: A Paradigm Shift for Real Estate Investment

Romania’s New Construction and Urban Planning Code: A Paradigm Shift for Real Estate InvestmentOctober 15, 2026 On 25 August 2026, Romania enacted Law no. 169/2026, introducing the new Territorial Planning, Urban Development and Construction Code and, in doing so, replacing the legislative framework that has shaped real estate development in Romania for more than three decades. This is far more than a legislative update. The new Code represents a fundamental recalibration of the rules governing how development potential is created, assessed, and ultimately monetized in Romania. Among its most significant changes, the Code introduces statutory limitations on key urban planning indicators, including the Land Occupancy Percentage (POT) and the Land Use Coefficient (CUT), curtails the ability to increase development density through successive land subdivisions, introduces a new tax framework applicable to certain land reclassification and conversion processes, and strengthens the link between the delivery of public infrastructure and the ability to complete and bring private developments into use. For investors and developers, the implications are material and may directly affect project viability, transaction pricing, development timelines and expected returns. Development capacity can no longer be assessed solely by reference to the current planning status of an asset. Project underwriting will increasingly need to incorporate regulatory constraints, infrastructure requirements, permitting timelines and the potential impact of the new framework on land values, development costs and the economic viability of a project. This also creates a new dimension to transactional due diligence. The question is no longer simply whether a project can be developed under the existing planning framework, but whether its development assumptions remain legally and commercially sustainable under the new regime. For existing portfolios, this may warrant a reassessment of development strategies, land values, and investment horizons and, in some cases, previously assumed development potential. For new acquisitions, a more sophisticated assessment of planning and regulatory risk will become an increasingly important component of investment decision-making. On the other hand, the new legislative framework should also aim to simplify the permitting process, with the stated goal of unlocking the potential of the construction sector, reducing administrative burdens, stimulating investment, accelerating project development and, ultimately, improving the quality of the built environment. The new Code therefore marks a decisive shift in Romania’s real estate & construction landscape. For those investing in large scale logistics or developing in the industrial and commercial market, early understanding of the new framework — and, critically, how it will be interpreted and applied in practice by local authorities — will be essential to protecting value, managing execution risk, and identifying opportunities ahead of the market. For international investors and cross-border capital allocators targeting the Romanian market — whether through direct acquisitions, joint ventures or platform investments — the new regime adds a layer of regulatory complexity that will need to be factored into underwriting models, pricing and deal structuring from the outset. If this topic is relevant to your current projects, acquisition strategy or development pipeline, we would be happy to discuss its practical implications. Key contacts
