Johanna’s expertise includes providing legal and regulatory advice across all aspects of the fund lifecycle, fund formation and fundraising to liquidation. She advises on a wide range of asset classes and strategies, including private equity, real estate, digital assets, funds of funds, SFDR-focused funds, and ELTIFs.
She also performs due diligence reviews for investors and represents them throughout negotiations and closing processes with fund managers, including the drafting of side letters and subscription agreements.
Prior to joining Eversheds Sutherland, Johanna worked as an investment funds associate in an international law firm in Luxembourg.
Johanna is qualified as a lawyer in France (Paris) and Luxembourg.

Johanna has acted on a wide range of operations for both regulated and unregulated Luxembourg funds:
- structuring reserved alternative investment funds under the form of special limited partnerships and corporate partnerships limited by shares (including multi-compartments structures) for an independent asset manager
- advising an independent asset manager on a day-to-day basis in relation to the management of three of its specialised investment funds and the related CSSF regulatory filings
- advising an independent asset manager, for the account of several compartments and/or co-investment vehicles for which it acts as alternative investment fund managers, on more than five fund reviews in real estate, venture capital and private equity funds or co-investment vehicles
- advising an institutional investor and a specialised investment fund on more than twenty fund reviews in venture capital and private equity US-based funds (including closing processes)
- advising a leader in the European growth lending industry on the structuring, establishment and launch of a parallel structure composed of a special limited partnership and a corporate partnership limited by shares qualifying as a reserved alternative investment fund and as a European long-term investment fund
- advising a US manager on the restructuring of two Luxembourg alternative investments fund and change of management structure from a Luxembourg manager to a US manager
