Nicholas “Nick” helps companies navigate complex regulatory matters at the intersection of global commerce and national security.
He represents US and multinational clients across the aerospace and defense, technology, telecommunications, financial services, energy, and industrials sectors on matters involving export controls, foreign investment, industrial security, and economic sanctions and customs compliance.
Nick advises on US export controls administered by Bureau of Industry and Security (BIS) under the Export Administration Regulations (EAR) and by Directorate of Defense Trade Controls (DDTC) under the International Traffic in Arms Regulations (ITAR) and regularly advises on nuclear export controls administered by the Nuclear Regulatory Commission (NRC) and Department of Energy (DOE). He also counsels clients on US economic sanctions administered by Office of Foreign Assets Control (OFAC).
Nick advises clients on foreign investment matters involving Committee on Foreign Investment in the United States (CFIUS) and outbound investments under the Outbound Investment Security Program (OISP). He supports M&A and other strategic transactions and investments, including private equity, by assessing and mitigating applicable national security and regulatory risks related to export controls, foreign investment, sanctions, and related regimes.
For clients across sectors, Nick has helped clients with understanding their risk profiles and compliance gaps and developing and implementing tailored, practical, and effective internal controls and compliance programs. He leads internal investigations, compliance reviews, and assessments to identify risks, which also can involve voluntary disclosures, remediation efforts, and engagement with relevant US government agencies.
Nick also counsels companies on industrial security matters arising under the National Industrial Security Program (NISP) overseen by Defense Counterintelligence and Security Agency (DCSA), including compliance with the National Industrial Security Program Operating Manual (NISPOM) Rule. He advises clients throughout the facility clearance process and provides strategic guidance on mitigating foreign ownership, control or influence (FOCI), including developing and implementing required mitigation instruments (Special Board Resolutions, Special Security Agreements, etc.), as well as related corporate governance measures.
